Terms of Service

1. Scope

These Terms of Service govern the use of the Stagedyver platform by musicians and bands, operated by:

Stagedyver's offering is directed exclusively at entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. Contracts with consumers (§ 13 BGB) are excluded.

2. Conclusion of Contract & Merchant of Record

Stagedyver uses the partner Lemon Squeezy (Lemon Squeezy, LLC) for payment processing. Lemon Squeezy acts as the official seller (Merchant of Record). The contract for the paid Stagedyver Pro subscription is concluded when the user successfully completes the checkout process at Lemon Squeezy and confirms the payment. No other paid services are billed via the platform. These Stagedyver Terms of Service apply additionally to the use of the app features.

3. Services for Musicians and Bands

• (1) Stagedyver offers Software-as-a-Service (SaaS) for musicians and bands to organize songs, setlists, events and performances, plus a public band profile. The app merely constitutes a tool for management.
• (2) Solo use: Stagedyver can be used by a single person free of charge and without time limit (unlimited songs and setlists, live mode on your own device, events, public band profile). Features that involve more than one person — additional member accounts, follow along (every device of the band and every reader of the band link and the substitute link follows the song the bandleader picks in live mode), lyrics and chords on the band link and the substitute link, and the AI-assisted smart import — require a paid Stagedyver Pro subscription for the respective band. Every newly created band receives Pro free of charge for 30 days as a trial; afterwards Pro ends automatically without creating a subscription. There is no automatic switch to a paid subscription; the subscription must be actively concluded by the bandleader (the band's owner) via the web checkout. Only the bandleader can take out, manage and cancel the subscription; other members only see its status.
• (2a) End of the trial or subscription: When the trial or the subscription ends, the accounts of the other members become read-only. They can still see songs, setlists and events and reply to events, but no longer edit anything. Pro features (follow along, lyrics and chords on the links, smart import) are no longer available. No data is deleted; with a new subscription everything can be edited again.
• (3) Price: The Stagedyver Pro subscription is concluded per band and costs €5.99 per month incl. VAT. Alternatively, an annual subscription can be taken out for €49 per year incl. VAT per band. The number of band members has no influence on the price.

4. Band Profile, Contact Form, Links Without an Account and Reminders

• (1) Bands can publish a public band profile with a contact form. Messages that visitors send via the contact form are forwarded by Stagedyver to the bandleader by email; the reply goes directly to the sender. Stagedyver does not store the content of these messages, limits the number of requests to prevent abuse and is not a party to any contract the band and the sender conclude as a result. The bandleader can switch the contact form off at any time.
• (2) Stagedyver does not broker performances, does not create contracts or invoices and does not process payments between bands and their clients. The fee and terms of a performance are agreed directly between band and client, outside the platform.
• (3) Band link and substitute link: Via the band link (all of the band's setlists) and the substitute link (one setlist), the band can make setlists and songs readable for people without an account. Anyone who has the link sees the shared content. The band decides with whom to share a link; the bandleader can revoke or regenerate it at any time. A revoked link stops working.
• (4) Follow along via link (Pro): While the bandleader plays a setlist in live mode, readers of the band link and the substitute link see the current song, without an account and without an app. This requires an internet connection on the reader's device (Wi-Fi or mobile data); the display may lag by a few seconds. Without a connection the page shows the last update. Stagedyver does not owe any particular availability or delay; live mode on your own device also works offline.
• (5) RSVP link: An event can be shared with an RSVP link. Anyone who has the link sees the event's title, date, time and place as well as the first names or display names of the members asked and their answers, and can answer Yes, Maybe or No for a member who is asked. Stagedyver does not check who answers; the band decides with whom to share the link. The RSVP link does not show the fee, notes or contact details. Anyone who may edit the band can revoke the link at any time; answers already given are kept.
• (6) Reminders: Stagedyver reminds members with an account by push notification and email about open replies (two to seven days before a gig or rehearsal), and by push notification the day before a rehearsal they said yes or maybe to. Reminders can be switched off in the settings under “Notifications”. There is no claim to delivery.

5. User Obligations

• (1) The user is obliged to provide truthful and complete information during registration and profile creation.
• (2) The user must keep their access credentials secret and protect them from unauthorized third-party access. Stagedyver must be informed immediately in the event of suspected misuse.
• (3) The user ensures that the content they post (text, images, links) does not infringe the rights of third parties (in particular copyrights or trademark rights) and does not violate applicable law.

6. Responsibility & Data

• (1) Each user is responsible for the accuracy of their own profile information and event data (such as an entered fee). Stagedyver does not provide legal or tax advice.
• (2) The data entered by the user (e.g. songs, setlists, events) remains the property of the user, who grants Stagedyver a simple right of use to provide the platform features.

7. Limitation of Liability

• (1) Stagedyver is liable without limitation for intent and gross negligence as well as for damages arising from injury to life, body or health.
• (2) In cases of slight negligence, Stagedyver is only liable for the breach of a material contractual obligation (cardinal obligation), the fulfilment of which makes the proper performance of the contract possible in the first place and on the observance of which the user may regularly rely. In this case, liability is limited to the foreseeable damage typical for the contract.
• (3) Any further liability for damages is excluded – regardless of the legal nature of the asserted claim. This applies in particular also to the availability of the platform and the error-free transmission of data.

8. Term & Cancellation (Stagedyver Pro)

The paid Pro subscription begins with the active conclusion (checkout) and is concluded for an indefinite period. With monthly payment it can be cancelled at any time at the end of the billing month, with annual payment at the end of the billing year, by the bandleader on the web under “Band” → “Plan” or in the Lemon Squeezy customer area. At the end of the subscription section 3 (2a) applies: member accounts become read-only, no data is deleted. Free solo use can continue without time limit independently of this.

8a. Concluding the Subscription (Web)

• (1) Subscription title: Stagedyver Pro (per band).
• (2) Length & price: a monthly auto-renewing subscription at €5.99 per month incl. VAT, or an annual auto-renewing subscription at €49 per year incl. VAT, each per band. The applicable price is shown in the Lemon Squeezy checkout before the purchase is confirmed.
• (3) Automatic renewal: The subscription renews automatically at the then-current price unless it is cancelled before the end of the current period.
• (4) Payment & management: The subscription is concluded exclusively via the web version of Stagedyver (Lemon Squeezy as Merchant of Record). The mobile apps do not sell subscriptions; they only display the band's status. The bandleader can manage and cancel the subscription at any time in the web account. When subscribing, the bandleader confirms acting as an entrepreneur within the meaning of § 14 BGB.
• (5) The Privacy Policy and these Terms of Service apply.

9. Final Provisions

• (1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
• (2) The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms of Service is, to the extent legally permissible, the registered office of Stagedyver (Würzburg).
• (3) Should individual provisions of these Terms of Service be or become invalid, the validity of the remaining provisions remains unaffected.
